Welcome to FullSlot. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account or using FullSlot, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our service. We may update these Terms from time to time, and your continued use constitutes acceptance of the updated Terms.

2. Description of Service

FullSlot is a software-as-a-service (SaaS) platform that helps appointment-based businesses fill cancellations automatically. When a cancellation is detected through connected calendar integrations, FullSlot notifies clients on the business's waitlist via SMS and/or email.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must be at least 18 years old to use FullSlot.
• One person or business may not maintain more than one free account.

4. Acceptable Use

You agree not to:

• Use FullSlot for any unlawful purpose or in violation of any laws
• Send unsolicited messages (spam) or messages to people who have not consented to receive them
• Upload false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any part of the service
• Use the service to collect personal information without consent
• Resell or redistribute the service without our permission

5. Client Data and Consent

You are responsible for ensuring you have proper consent to contact the clients whose information you upload to FullSlot. By uploading client data, you represent and warrant that:

• You have obtained proper consent from each client to contact them via SMS and/or email
• You will honor opt-out requests promptly
• You will comply with all applicable laws regarding electronic communications, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and similar regulations
• The client data you provide is accurate and up-to-date

6. Subscription and Payment

Beta Access

During the beta period, FullSlot is provided free of charge. Beta users who convert to paid plans receive a permanent discount as described at the time of signup.

Paid Plans

• Paid subscriptions are billed monthly or annually in advance.
• All fees are non-refundable except as required by law or as explicitly stated.
• We may change pricing with 30 days' notice. Changes apply at your next billing cycle.
• You may cancel your subscription at any time. Access continues until the end of your billing period.

7. Messaging Costs

FullSlot subscription plans include a certain volume of SMS messages. Usage beyond included limits may incur additional charges as specified in your plan details. We will notify you before any overage charges are incurred.

8. Intellectual Property

FullSlot and its original content, features, and functionality are owned by FullSlot and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you upload to FullSlot. By using our service, you grant us a limited license to use, process, and store your data as necessary to provide the service.

9. Third-Party Integrations

FullSlot integrates with third-party services such as Calendly, Twilio, and others. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or reliability of third-party services.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to FullSlot. We may perform scheduled maintenance, and the service may be temporarily unavailable due to factors beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Disclaimer of Warranties

FULLSLOT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THAT NOTIFICATIONS WILL BE DELIVERED OR THAT CANCELLATIONS WILL BE FILLED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FULLSLOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless FullSlot and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to FullSlot at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the service immediately ceases
• We may delete your account and data after a reasonable retention period
• Provisions that by their nature should survive (such as limitations of liability) will remain in effect

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of FullSlot after changes constitutes acceptance of the new Terms.
